TERMS & CONDITIONS – Controlling Automation LLC
1. Scope of Services
Controlling Automation LLC provides consulting, engineering, and integration services related to industrial control systems. Services may include system design, programming, commissioning, troubleshooting, and documentation. All services are provided in accordance with the agreed project scope and timeline.
2. Client Responsibilities
The Client shall:
- Provide accurate and complete information necessary for project execution.
- Ensure safe access to facilities and systems.
- Maintain compliance with all applicable laws and regulations.
- Be responsible for the operation and maintenance of systems post-handover.
3. Fees and Payment Terms
- Fees are outlined in the project quotation or proposal.
- Invoices are due within 30 days of issuance unless otherwise agreed.
- Late payments may incur interest at 1.5% per month.
4. Change Orders
Any changes to the scope of work must be documented and approved in writing. Additional charges may apply for scope changes.
5. Warranty and Limitations
- Controlling Automation LLC warrants that services will be performed in a professional and workmanlike manner.
- No warranty is provided for third-party equipment or software.
- The warranty period is 90 days from project completion unless otherwise stated.
6. Limitation of Liability
To the fullest extent permitted by law:
- Controlling Automation LLC shall not be liable for indirect, incidental, or consequential damages.
- Total liability shall not exceed the amount paid by the Client for the specific project.
7. Indemnification
The Client agrees to indemnify and hold harmless Controlling Automation LLC from any claims, damages, or liabilities arising from:
- Misuse or modification of delivered systems.
- Client’s failure to maintain or operate systems properly.
- Any third-party claims related to the Client’s operations.
8. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information exchanged during the project.
9. Termination
Either party may terminate the agreement with written notice if the other party breaches any material term and fails to cure within 15 days.
10. Governing Law
These terms shall be governed by the laws of the State of Oklahoma, United States.
